Terms of Service

These terms govern your use of the services provided by Aetheris Innovations (“Aetheris”, “we”, “us”). They cover two distinct products:

  • Aetheris LeadAI — the web application at lead.aetherisinnovations.com that operators use to find, qualify, and contact leads.
  • Aetheris Professional Website — the hosted website service we deliver to end customers for a one-time setup fee plus a recurring subscription.

By creating an account or subscribing to a plan, you agree to these terms. If you do not agree, do not use the services.

1. Accounts

You are responsible for your account credentials and for every action taken under your account. Tell us immediately at frezer@aetherisinnovations.com if you suspect unauthorized use. We may suspend accounts used to abuse the service (for example, to scrape at volumes that disrupt other users, to send deceptive outreach, or to violate the acceptable-use rules below).

2. Subscriptions, billing, and taxes

Aetheris LeadAI operator plans and Aetheris Professional Website subscriptions are billed in advance through Stripe. The subscription starts when payment is received and renews automatically at the displayed cadence (monthly or annual) until cancelled. Cancelling stops future renewals but does not refund the current period — see the refund policy for exceptions.

Prices are shown in US dollars and exclude applicable taxes. If we are required to collect sales tax or VAT based on your billing address, Stripe will display the amount before you pay.

3. Aetheris Professional Website service

When you pay the $250 setup fee, we build a website using the brief, brand assets, and content you provide. We aim to deliver the initial site within 7 business days of receiving a complete brief. Delays caused by missing content or unresponsive feedback loops are excluded from that target.

The monthly subscription covers hosting, the embedded AI Sales Assistant, automated review-request workflows, basic analytics, and minor content updates (copy changes, new images, adding sections). Substantial rebuilds or custom feature work are not included and may be quoted separately.

4. Content and intellectual property

You retain ownership of the brand assets, copy, images, and other content you provide. By uploading content, you grant Aetheris a worldwide, non-exclusive licence to host, display, and modify it as needed to deliver the service. You confirm you have the rights to everything you upload — if a third party claims you infringed their rights, you are responsible for defending that claim.

We retain ownership of the Aetheris LeadAI platform, the underlying templates and code, and any AI-generated components we supply. On an active subscription, you have a licence to use the live website we deliver. If the subscription lapses, we may take the site offline.

5. Acceptable use

You agree not to use the services to:

  • Send unsolicited bulk messages in violation of CAN-SPAM, CASL, or similar laws.
  • Impersonate another person or business, or misrepresent your affiliation.
  • Scrape, probe, or stress-test the platform beyond documented endpoints.
  • Upload malware, illegal content, or content that infringes someone else’s rights.
  • Resell access to the platform without a written agreement with Aetheris.

6. Third-party services

Aetheris LeadAI integrates with Google Maps (for lead discovery), an AI inference provider (for AI scoring and content), Stripe (for billing), Resend (for email delivery), Vercel Blob (for asset storage), and Cloudflare (for DNS). Outages or changes in those services may temporarily limit functionality. Your data is processed by these providers only as needed to operate the service — see the privacy policy for details.

7. Service availability

We target high availability but do not guarantee uninterrupted service. Scheduled maintenance, upstream outages, and force-majeure events (for example, a Stripe, Vercel, or Cloudflare incident) may interrupt the platform.

8. Termination

You may cancel your subscription at any time from the billing portal or by emailing us. We may suspend or terminate access for material breach of these terms (non-payment, acceptable-use violation, fraud) — where practical we will give you notice and a chance to cure.

9. Disclaimers and limitation of liability

The services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Aetheris’s aggregate liability for any claim arising out of or relating to the services is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.

10. Governing law and disputes

These terms are governed by the laws of the State of Pennsylvania, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Dauphin County, Pennsylvania, and you consent to personal jurisdiction there.

11. Changes to these terms

We may update these terms as the product evolves. Material changes will be announced by email to the address on your account at least 14 days before they take effect. Continued use after the effective date is your acceptance of the new terms.
